Common use of Bring-down Comfort Letters Clause in Contracts

Bring-down Comfort Letters. At the Closing Time, the Representatives shall have received from Deloitte Statsautoriseret Revisionspartnerselskab letters, dated as of the Closing Time, to the effect that they reaffirm the statements made in the letters furnished pursuant to subsection (j) of this Section, except that the specified date referred to shall be a date not more than three business days prior to the Closing Time.

Bring-down Comfort Letters. At the Closing TimeDate, the Representatives shall have received from each of Ernst & Young LLP and Deloitte Statsautoriseret Revisionspartnerselskab letters& Touche LLP a letter, dated as of Closing Date and in form and substance satisfactory to the Closing TimeRepresentatives, to the effect that they each reaffirm the statements made in the their respective letters furnished pursuant to subsection (je) of this Section, except that the specified date referred to shall be a date not more than three business days prior to the Closing TimeDate.

At the Closing Time, the Representatives shall have received from Deloitte Statsautoriseret Revisionspartnerselskab lettersTouche Tohmatsu LLC a letter, dated as of the Closing Time, to the effect that they reaffirm the statements made in the letters their letter furnished pursuant to subsection (jd) of this SectionSection 5, except that the specified date referred to shall be a date not more than three five business days prior to the Closing Time.

At the Closing Time, the Representatives shall have received letters from Deloitte Statsautoriseret Revisionspartnerselskab letters& Touche LLP, dated as of the Closing Time, to the effect that they reaffirm the statements made in the letters letter furnished pursuant to subsection (jg) of this Section, except that the specified date referred to shall be a date not more than three business days prior to the Closing Time.

At the Closing Time, the Representatives shall have received from each of Deloitte Statsautoriseret Revisionspartnerselskab letters& Touche LLP and PricewaterhouseCoopers LLP a letter, dated as of the Closing Time, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of each such letter for each of the other Underwriters, to the effect that they reaffirm the statements made in the letters applicable letter furnished pursuant to subsection (jSection 6(k) of this Sectionhereof, except that the specified date referred to shall be a date not more than three business days prior to the Closing Time.

At the Closing Time, the Representatives and the Selling Shareholder shall have received from Deloitte Statsautoriseret Revisionspartnerselskab & Touche LLP a letter or letters, dated as of the Closing Time, to the effect that they reaffirm the statements made in the letter or letters furnished pursuant to subsection (jSection 6(e) of this Sectionhereof, except that the specified date referred to shall be a date not more than three business days prior to the Closing Time.

At the Closing Time, the Representatives shall have received from Deloitte Statsautoriseret Revisionspartnerselskab letters(i) Deloitte, dated as of the Closing Time, to the effect that they reaffirm the statements made in the letters letter furnished pursuant to subsection Section 5(e)(i) hereof, and (jii) EY, dated as of this Sectionthe Closing Time, to the effect that they reaffirm the statements made in the letter furnished pursuant to Section 5(e)(ii) hereof, except that the specified date dates referred to in this Section 5(f) shall be a date not more than three business days prior to the Closing Time.

At the Closing Time, the Representatives shall have received from each of KPMG LLP and Deloitte Statsautoriseret Revisionspartnerselskab letters& Touche LLP a letter, dated as of the Closing Time, to the effect that they reaffirm the statements made in the letters furnished pursuant to subsection (je) of this Section, except that the specified date referred to shall be a date not more than three business days prior to the Closing Time.

At the Closing Time, the Representatives shall have received from each of PricewaterhouseCoopers, LLP and Deloitte Statsautoriseret Revisionspartnerselskab letters& Touche LLP a letter, dated as of the Closing Time, to the effect that they reaffirm the statements made in the each of their letters furnished pursuant to subsection (jg) of this Section, except that the specified date referred to shall be a date not more than three business days prior to the Closing Time.

Bring-down Comfort Letters. At the Closing Time, the Representatives Representative shall have received from each of Deloitte Statsautoriseret Revisionspartnerselskab letters& Touche, LLP and BDO Audit Pty Ltd a letter, in each case, dated as of the Closing Time, to the effect that they reaffirm the statements made in the letters furnished pursuant to subsection (je) or (f) of this Section, as applicable, except that the specified date referred to shall be a date not more than three business days prior to the Closing Time.

At the Closing TimeTime of Payment, the Representatives shall have received from Deloitte Statsautoriseret Revisionspartnerselskab lettersTouche Tohmatsu a letter, dated as of the Closing TimeDate, to the effect that they reaffirm the statements made in the letters their letter furnished pursuant to subsection (jf) of this Section, except that the specified date referred to shall be a date not more than three business days prior to the Closing TimeDate.
