Common use of Bring-Down Certificate Clause in Contracts

Bring-Down Certificate. Buyer shall have received a certificate dated as of the Closing Date and executed by an executive officer of the Company certifying that the conditions set forth in Section 8.2(a) and Section 8.2(b) have been satisfied.

Bring-Down Certificate. Buyer Seller shall have received a certificate dated as of the Closing Date and duly executed by an executive officer on behalf of Buyer, confirming the Company certifying that the satisfaction of all unwaived conditions set forth in Section 8.2(a6.3(a) and Section 8.2(b) have been satisfied6.3(b).

Bring-Down Certificate. Buyer Seller Parties shall have received a certificate dated as of the Closing Date and executed by an executive officer of the Company Buyer certifying that the conditions set forth in Section 8.2(a8.3(a) and Section 8.2(b8.3(b) have been satisfied.

Bring-Down Certificate. The Buyer shall have received a certificate dated as of the Closing Date and from Seller, executed by an executive officer of the Company Seller and dated the Closing Date, satisfactory in form and substance to the Buyer and its counsel, certifying that as to the satisfaction by such parties of the conditions set forth in Section 8.2(a) Sections 7.1 and Section 8.2(b) have been satisfied7.2 hereof.

Bring-Down Certificate. Buyer shall have received a certificate delivered to the Seller its certificate, dated as of the Closing Date and Date, executed on its behalf by an executive officer its duly authorized representative, as to the fulfillment of the Company certifying that the conditions set forth in Section 8.2(aSections 6.3(c) and Section 8.2(b6.3(d) have been satisfied.(the “Buyer Bring-Down Certificate”); and

Bring-Down Certificate. Buyer Seller shall have received a certificate dated as of the Closing Date and executed by an executive officer of the Company Buyer certifying that the conditions set forth in Section 8.2(a6.3(a) and Section 8.2(b6.3(b) have been satisfied.; and

Buyer shall have received a certificate certificate, dated as of the Closing Date and duly executed by an executive officer on behalf of the Company certifying that Acquired Entity and Seller, confirming the satisfaction of all unwaived conditions set forth in Section 8.2(a) 6.2(a), and Section 8.2(b) have been satisfied6.2(b).

Buyer Seller shall have received delivered to Buyer a certificate certificate, dated as of the Closing Date Date, executed on behalf of Seller and executed Company by an executive officer their duly authorized representative, as to the fulfillment of the Company certifying that the conditions set forth in Section 8.2(aSections 6.2(c), 6.2(d), and 6.2(f) and Section 8.2(b) have been satisfied.(the “Company Bring-Down Certificate”);
