BRASILCEL N. V., a limited liability company, duly organized, existing and established in accordance with the laws of the Netherlands, with corporate seat in Amsterdam, the Netherlands, and address at: 1077 ZX, Amsterdam, the Netherlands, Strawinskylaan 3105 represented herein in accordance with its articles of association (the “Company”). TEM, Portugal Telecom, PT Móveis and the Company together hereinafter also referred to as the “Parties”.
