Common use of Borrowing Certificate Clause in Contracts

Borrowing Certificate. The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of the Borrower, dated the Closing Date, substantially in the form of Exhibit C, with appropriate insertions and attachments, satisfactory in form and substance to the Administrative Agent, executed by two Responsible Officers of the Borrower.

Borrowing Certificate. The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of the Borrower, dated the Closing Date, substantially in the form of Exhibit CG, with appropriate insertions and attachments, satisfactory in form and substance to the Administrative Agent, executed by two a Responsible Officers of the BorrowerOfficer.

Borrowing Certificate. The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of the Borrower, dated the Closing Restatement Effective Date, substantially in the form of Exhibit C, with appropriate insertions and attachments, satisfactory in form and substance to the Administrative Agent, executed by two a Responsible Officers of the BorrowerOfficer.

Borrowing Certificate. The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of the BorrowerBorrowers, dated the Closing Date, substantially in the form of Exhibit C, with appropriate insertions and attachments, satisfactory in form and substance to the Administrative Agent, executed by two Responsible Officers the President or any Vice President and the Secretary or any Assistant Secretary of the BorrowerBorrowers.

Borrowing Certificate. The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of the BorrowerBorrowing Certificate, dated the Closing Amendment and Restatement Effective Date, substantially in the form of Exhibit CG to the Agreement, with appropriate insertions and attachments, satisfactory in form and substance to the Administrative Agentinsertions, executed by two a duly authorized Responsible Officers Officer of the Borrower.

Borrowing Certificate. The Administrative Agent shall have received, received (with a counterpart for each Lenderthe number of original counterparts requested by the Administrative Agent), a certificate of the Borrower, dated the Closing Date, substantially in the form of Exhibit CE, with appropriate insertions and attachments, satisfactory in form and substance to the Administrative Agent, executed by two a Responsible Officers Officer of the Borrower.

Borrowing Certificate. The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of each of Holdings and the Borrower, dated the Closing Date, each substantially in the form of Exhibit CO, with appropriate insertions and attachments, satisfactory in form and substance to the Administrative Agent, executed by two Responsible Officers the President or any Vice President and the Secretary or any Assistant Secretary of each of Holdings and the Borrower.
