BOOKKEEPING AND DATA PROCESSING 15. 1 Each Transferor hereby assigns to the Administrative Agent, who hereby accepts such assignment, any right it has against any third party (in particular any bookkeeping firm or tax consultant) in respect of the return of any means of evidence or documents which the relevant Transferor has handed over to such third party and which are necessary to identify the Transferred Assets. Each Transferor undertakes to instruct any such third party, upon the occurrence of an Event of Default which is continuing, to provide the Administrative Agent upon first demand with such information, proof and documents which are necessary to check, assess and/or enforce the security interest created hereby.
