Board Operation.
5.1. Chair of Board. The Trustees appointed under Section 4.1 must:
(a) designate one of the Trustees appointed under Section 4.1 as chair of the Board; or
(b) appoint a person, not appointed pursuant to Section 4.1, as a Trustee and designate that person as chair of the Board.
Board Operation. That the Board’s functions may be performed and carried out by the officers, committees established by the Board, employees, and independent contractors as may be appointed by the Board, except for duties expressly reserved as exclusive to the Board or to the full Board, which shall mean at least a quorum of the Board voting pursuant to Board Rules. All such officers, committees, independent contractors, agents, consultants, and employees shall serve at the pleasure of the Board, and the Board shall prescribe their powers, duties, and qualifications and fix their compensation and other terms of their service.
