Board Decisions. 2.3.1 Each Stockholder shall procure that the Directors appointed by it shall duly perform their duties at the Board of Directors in accordance with and so as to give effect to the terms of this Agreement. 2.3.2 Each Stockholder shall procure the director nominated by it to the board of each other Group Company (if any) shall exercise his/her voting powers, subject to applicable fiduciary duties, in a manner consistent with the decisions of the Board.
