Binding Upon Assigns. The provisions of this Agreement (including any amendments, modifications and waivers hereof properly adopted) shall be binding upon and shall inure to the benefit of the parties hereto and any third party beneficiaries, and each of their respective successors and assigns. Neither party hereto shall be entitled to assign or transfer any of its rights or obligations under this Agreement without the prior consent of the other party hereto and the Trustee.
