Binding Obligations, Etc. The Loan Documents to which Borrower is a party have been duly executed and delivered by Borrower and constitute the legal, valid and binding obligations of Borrower enforceable against it in accordance with the terms thereof; the Guaranties and the Contribution Agreement have been duly executed and delivered by the Guarantors and constitute the legal, valid and binding obligations of such Guarantors enforceable against them in accordance with the terms thereof, in each case, except as such enforceability may be limited by bankruptcy, insolvency, reorganization, moratorium, or similar laws of general application relating to or affecting the rights and remedies of creditors and by general equitable principles, regardless of whether enforcement is sought in equity or at law.
