Common use of Binding Obligations, Etc Clause in Contracts

Binding Obligations, Etc. This Agreement has been duly executed and delivered by the Borrower and constitutes, and the other Borrower Documents when duly executed and delivered will constitute, the legal, valid and binding obligations of the Borrower enforceable against the Borrower in accordance with their respective terms, except as enforceability may be limited by bankruptcy, insolvency, reorganization, similar laws affecting creditors’ rights generally or general principles of equity. The Guarantor Documents when duly executed and delivered will constitute, the legal, valid and binding obligations of each Guarantor a party thereto enforceable against such Guarantor in accordance with their respective terms, except as enforceability may be limited by bankruptcy, insolvency, reorganization, similar laws affecting creditors’ rights generally or general principles of equity.
