Binding Nature, Governing Law, Etc. This Agreement shall be binding upon the Borrower and its successors and assigns and shall inure to the benefit of the Lender and the benefit of its successors and assigns, including any subsequent holder of the Note. To the extent not preempted by Federal law, this Agreement and the rights and duties of the parties hereto shall be construed and determined in accordance with the laws of the State of New York without regard to principles of conflicts of laws.
