Binding License Clause Samples

A Binding License clause establishes that the license granted under the agreement is legally enforceable and obligates both parties to adhere to its terms. In practice, this means that the licensee is authorized to use certain intellectual property, software, or other assets as specified, and the licensor cannot unilaterally revoke these rights except as outlined in the agreement. This clause ensures that both parties have clear, dependable rights and obligations, reducing uncertainty and protecting against unauthorized use or unexpected termination.
