Common use of Binding Effect; Counterparts Clause in Contracts

Binding Effect; Counterparts. (a) This Agreement shall become effective when it shall have been executed by the Borrower and each of the Agents and when the Administrative Agent shall have received counterparts hereof which, when taken together, bear the signatures of each of the other parties hereto. (b) This Agreement may be executed in one or more duplicate counterparts and by facsimile or other electronic transmission, each of which shall constitute an original but all of which shall become effective as provided in clause (a) above. Delivery of an executed signature page to this Agreement by facsimile transmission shall be as effective as delivery of a manually signed counterparty of this Agreement.

(b) This Agreement may be executed in one or more duplicate counterparts (and by facsimile or other electronic transmissiondifferent parties hereto on different counterparts), each of which shall constitute an original but all of which when taken together shall become effective as provided in clause (a) aboveconstitute a single contract. Delivery of an executed signature page to this Agreement by facsimile or other customary means of electronic transmission (e.g., “PDF”) shall be as effective as delivery of a manually signed counterparty counterpart of this Agreement.
