Common use of Binding Effect; Assignment Clause in Contracts

Binding Effect; Assignment. This Agreement shall be binding upon the parties hereto, their heirs, legal representatives, successors and assigns. This Agreement shall not be assignable by the Executive but shall be assignable by the Company in connection with the sale, transfer or other disposition of its business or to any of the Company's affiliates controlled by or under common control with the Company.

Neither this Agreement nor any right or interest hereunder shall be assignable or transferable by the Company in connection with the saleExecutive, transfer his beneficiaries or other disposition of its business or to any of the Company's affiliates controlled by or under common control with the Companylegal representatives.

In that this Agreement is a personal services contract, it shall not be assigned by Employee. This Agreement shall not be assignable by the Executive but shall be assignable by the Company in connection with the sale, transfer only to an acquirer of all or other disposition of its business or to any substantially all of the Company's affiliates controlled by or under common control with the assets of Company.

This Agreement shall is not be assignable by the Executive but shall be assignable by parties, provided, however, that the Company in connection with the sale, transfer may assign this Agreement or other disposition any of its business or rights hereunder without the prior written consent of Executive to any of the Company's affiliates controlled by affiliate, joint venture partner or under common control with the Companysuccessor.

This Agreement shall not may be assignable by the Executive but shall be assignable assigned by the Company in connection with the sale, transfer to a corporation or other disposition legal entity controlled by, or under common control with, the Company, without the consent of Consultant. In addition, this Agreement may be assigned by the Company to any successor upon a sale of its business or to any of the Company's affiliates controlled by or under common control with the Companyassets. Consultant may not assign this Agreement.

This ; provided, however that neither party may assign this Agreement shall not be assignable by without the Executive but shall be assignable by prior written consent of the other party hereto except that the Company may, without the consent of the Director, assign this Agreement in connection with any merger, consolidation, share exchange, combination, sale of stock or assets or similar transaction involving the sale, transfer Company or other disposition any transaction or series of its business or to any of the Company's affiliates controlled by or under common control with the Companytransactions constituting a Change in Control.
