Common use of Binding Effect and Severability Clause in Contracts

Binding Effect and Severability. The Subscriber may not assign any of its rights or obligations under this Agreement without the prior written consent of the General Partner. This Agreement and the rights and obligations set forth herein shall be binding upon, and shall inure to the benefit of, the Subscriber, the Partnership and the General Partner, and their respective successors and permitted assigns. If any provision of this Agreement, or the application of such provision to any circumstance, shall be invalid under the laws of the applicable jurisdiction, the remainder of this Agreement or the application of such provision to other persons or circumstances or in other jurisdictions shall not be affected thereby.
