Common use of Binding Effect; Amendments Clause in Contracts

Binding Effect; Amendments. This Agreement shall bind, and shall inure to the benefit of, the parties and their respective successors and assigns. The Foundation shall have the power, acting alone, to amend this Agreement in any manner required for the sole purpose of ensuring that the Foundation qualifies and continues to qualify as a tax-exempt organization described in Section 501(c)(3) of the Code, and that the Funds qualify as "component parts" of the Foundation as a "community trust" within the meaning of Treasury Regulation Section 1.170A-9(e)(10)(14).
