Binding Effect; Amendments; Confirmation. No termination, amendment, variation or waiver of any provisions of this Consent shall be effective unless in writing and signed by Contracting Party, Agent and Assignor; provided that all rights and obligations of Agent hereunder shall terminate upon payment in full of the obligations of Assignor under the Financing Agreement without the requirement for any such writing.
