Binding Arbitration. Upon demand All disputes, claims or controversies arising under this Lease between the Parties with respect to whether Landlord has granted or withheld (or failed to grant or withhold) its consent or approval to any matter in violation of any partythe applicable terms and provisions of this Lease (each, whether made before or after institution of any judicial proceeding, any dispute, claim or controversy arising out of, connected with or relating to this Agreement or any other Loan Document (a “DisputesConsent Dispute”), and all other disputes, claims or controversies arising under this Lease between or among parties hereto and the Parties that, by the terms of this Lease, are stated to the other Loan Documents shall be resolved by arbitration pursuant to this Section 27.1 (together with Consent Disputes, each a “Dispute”), shall be addressed and resolved in accordance with the following binding arbitration as provided herein. Institution procedures, and no other claim shall be brought in any court or under other dispute resolution process, and no other remedy shall be sought to be exercised by the Parties with respect to the subject matter of a judicial proceeding by a party does not waive the right any such Dispute:
(a) The arbitration of that party to demand arbitration hereunder. Disputes may include, without limitation, tort claims, counterclaims, claims brought as class actions, claims arising from Loan Documents executed in the future, disputes as to whether a matter is subject to arbitration, or claims concerning any aspect of the past, present or future relationships arising out of or connected with the Loan Documents. Arbitration such Dispute shall be conducted under and governed by pursuant to the Expedited Procedures of the Commercial Financial Disputes Arbitration Rules (the “Arbitration Rules”) of the American Arbitration Association (the “AAA”) in New York, New York.
(b) Such arbitrator shall be a disinterested party, selected from a current AAA list using then current AAA-recommended selection method or by the Parties, using the so-called “▇▇▇▇▇▇▇▇” selection method, if so requested by any Party.
(c) After his or her appointment, such arbitrator shall hold a conference with the Parties with respect to such Dispute as soon as practicable (but in any event within five (5) days of such appointment) to define and narrow the issues and claims to be arbitrated, to define and limit discovery and to identify the form of evidence to be presented. All such discovery shall be completed within five (5) Business Days of said conference.
(d) Any arbitration shall be conducted by such arbitrator under the guidance of the Federal Rules of Civil Procedure and the Federal Rules of Evidence, as modified by the Arbitration Act. All Rules, but such arbitrator shall not be required to comply strictly with such rules in conducting any such arbitration.
(e) Such arbitrator shall conduct such evidentiary or other hearings (not to exceed two (2) days) as such arbitrator shall deem necessary or appropriate, and thereafter shall make a determination as soon as practicable and in no event later than fourteen (14)-days following the conclusion of such hearings.
(f) A full and complete record of such arbitration hearings shall be conducted in Charlottemaintained, North Carolina. The expedited procedures set forth in Rule 51, et seq. and the decision of such arbitrator shall be accompanied by detailed written findings of fact and conclusions of law of the Arbitration Rules arbitrator.
(g) Unless otherwise determined by the arbitrator, the non-prevailing Party in such arbitration shall bear the Costs and Expenses of the Parties in connection therewith.
(h) In no event shall such arbitrator award or determine that any Party shall be applicable entitled to claims of less than $1,000,000. All applicable statutes of limitations shall apply (i) any indirect, speculative or consequential damages (including, without limitation, damages with respect to any lost profits) or (ii) subject to the foregoing clause (g), any other damages or compensation except (solely with respect to this clause (ii)) to the extent that such arbitrator determines that Landlord acted in bad faith in withholding its consent in violation of the applicable terms and provisions of this Lease in connection with the subject matter of a Consent Dispute. A .
(i) The Parties shall keep all such arbitration proceedings strictly confidential, except to the extent that disclosure is required by applicable Legal Requirements.
(j) Such arbitrator may make and grant interim and interlocutory awards and relief, including injunctive relief, which shall not be subject to appeal.
(k) The final award by such arbitrator shall be final and binding on the Parties and shall not be subject to appeal, and judgment upon on the award may be entered in any court having of competent jurisdiction. Notwithstanding anything foregoing .
(l) In the case of any conflict between a term or condition of this Lease and a term or condition of the Arbitration Rules, the terms and conditions of this Lease shall govern and control in all respects to the contrary, any arbitration proceeding demanded hereunder shall begin within ninety (90) days after such demand thereof and shall be concluded within one hundred twenty (120) days after such demand. These time limitations may not be extended unless a party hereto shows cause for extension and then such extension shall not exceed a total of sixty (60) days. The panel from which all arbitrators are selected shall be comprised of licensed attorneys selected from the Commercial Financial Dispute Arbitration Panel of the AAA. Binding Arbitration.
