Common use of BINDING AGREEMENT; NON-ASSIGNMENT Clause in Contracts

BINDING AGREEMENT; NON-ASSIGNMENT. This Agreement shall inure to the benefit of and be binding upon the parties hereto and their respective successors. This Agreement is not assignable without the express written consent of both parties, which consent may be withheld for any reason. Nothing in this Agreement, express or implied, is intended to confer upon any third party any rights, remedies, obligations, or liabilities under or by reason of this Agreement except as expressly otherwise provided in this Agreement. If the Guarantor secures the consent of a third party to indemnify it for certain costs and expenses it may incur hereunder or in connection with the Pledge Documents, the Guarantor agrees that is shall provide the Company notice of such agreement, including the contact information of the subject third party.
