Bidco and EMIS Sample Clauses

Bidco and EMIS. 1.2.1 jointly wrote to participants in the EMIS Share Plans in respect of their Subsisting Awards and their 2022 Awards (as defined below) on 11 July 2022 shortly after the Scheme Document was posted to EMIS Shareholders; and 1.2.2 intend to jointly write to participants in the EMIS Share Plans in respect of: (i) their 2022 Awards at such time following the date of this amended and restated Agreement as agreed between EMIS and Bidco and consented to by the Panel and (ii) their 2023 Awards (as defined below) at such time on or following their grant as agreed between EMIS and Bidco and consented to by the Panel, in each case, to inform them of the Proposals, the impact of the Scheme on their outstanding options under the EMIS Share Plans, and the actions they may take in connection with their options as a result of the Scheme. EMIS prepared the communications in respect of the Subsisting Awards and the 2022 Awards in a form agreed between EMIS and Bidco. EMIS also intends to prepare the required communications in respect of the 2023 Awards, in a form to be agreed between EMIS and Bidco.
