Below-Par Purchases. Notwithstanding anything to the contrary contained in this Section 2.06(b) or any other provision of this Agreement and without otherwise limiting the rights in respect of prepayments of the Loans of the US Borrower and its Subsidiaries, so long as no Default or Event of Default has occurred and is continuing, the US Borrower may repurchase outstanding Term Loans pursuant to this Section 2.06(b)(iii) on the following basis:
