Basis and Payment. Subject to the rights, if any, of shareholders holding shares with special rights as to dividends: (a) any dividend declared on shares of any class or series by the directors may be made payable on such date as is fixed by the directors; and (b) all dividends on shares of any class or series will be declared and be paid according to the number of such shares held.
