Basic Sublease Term. The basic term of this Facility Sublease (the “Basic Sublease Term”) shall commence on the Sublease Closing Date and shall terminate at 11:59 p.m. (New York City time) on May 25, 2040 (the “Sublease Expiration Date”), subject to earlier termination pursuant to Section 10 or Section 17 hereof.
