Common use of Bankruptcy or Dissolution of the General Partner Clause in Contracts

Bankruptcy or Dissolution of the General Partner. In the event of the bankruptcy or dissolution and commencement of winding-up of the General Partner, or the occurrence of any other event that causes the General Partner to cease to be a general partner of the Partnership under the Partnership Law, the Partnership shall be dissolved and its affairs shall be wound up as provided in Section 13, unless the business of the Partnership is continued pursuant to Section 13.1(a).

In the event of the bankruptcy or dissolution and commencement of winding-up of the General Partner, Partner or the occurrence of any other event that causes the General Partner to cease to be a general partner of the Partnership under the Partnership LawPartnership, the Partnership shall be dissolved and its affairs shall be wound up as provided in Section 13Article IX, unless the General Partner ceases to be the general partner pursuant to Section 7.01 or the business of the Partnership is continued pursuant to Section 13.1(a9.01(b).

The General Partner shall take no action voluntarily to declare bankruptcy or accomplish its dissolution prior to the dissolution of the Partnership.
