Bank Facility. The Company shall have delivered to PIM fully executed copies of the Bank Credit Agreement and each of the other instruments and agreements executed and/or delivered in connection therewith, each certified as true, correct and complete by an Authorized Officer of the Company and with terms and conditions satisfactory to PIM. Each of the conditions precedent in the Bank Credit Agreement shall have been previously or concurrently satisfied as of the date of the amendment and restatement hereof.
