BALDWIN ("Seller"). ▇▇▇ ▇▇▇▇▇▇▇▇▇, ▇he Company, and the Seller are each referred to in this Agreement as a "Party" and collectively as the "Parties." The Seller directly owns all of the outstanding capital stock of the Company. This Agreement contemplates a transaction in which the Purchaser will purchase from the Seller, and the Seller will sell to the Purchaser, all of the outstanding capital stock of the Company.
