BAHA's and MTC’s Conditions Precedent to Closing. The following are conditions precedent to BAHA's obligation to sell the Property and MTC’s obligation to acquire the ABAG Property ("BAHA's and MTC’s Conditions Precedent"). BAHA's and MTC’s Conditions Precedent are intended solely for the benefit of BAHA and MTC and may be waived only by BAHA and MTC in writing. In the event any BAHA's and MTC’s Condition Precedent is not satisfied, BAHA and MTC may, in their joint and absolute discretion and without limiting any of their other rights and remedies under this Agreement, at law or in equity, terminate this Agreement.
