Common use of Backstop Limitations Clause in Contracts

Backstop Limitations. Notwithstanding anything to the contrary in this Agreement, the Purchaser shall never be required to subscribe for Exchangeable Notes under this Agreement in an amount that is greater than $120,000,000 (the “Backstop Limit”).
