BACKGROUND EXPERIENCE Clause Samples
The 'Background Experience' clause defines and acknowledges the pre-existing knowledge, skills, intellectual property, or resources that a party brings to a contract or project. This clause typically specifies what constitutes background experience, such as prior inventions, proprietary methods, or technical know-how, and may require parties to list or describe these assets in an annex or schedule. Its core function is to clearly distinguish between what each party already owns before the agreement and what will be developed or shared during the collaboration, thereby preventing disputes over ownership and use of pre-existing assets.
