Back-Up Procedures. Service Provider shall follow its archiving procedures for Service Recipient Data as agreed upon with Service Recipient or as stipulated in such other documents as may be notified to Service Recipient from time to time, as such document may be amended by Service Provider in its sole discretion from time to time. In the event of any loss or damage to Service Recipient Data, Service Recipient’s sole and exclusive remedy against Service Provider shall be for Service Provider to use reasonable commercial endeavors to restore the lost or damaged Service Recipient Data from the latest back-up of such Service Recipient Data maintained by Service Provider in accordance with the archiving procedure. Service Provider shall not be responsible for any loss, destruction, alteration or disclosure of Service Recipient Data caused by any third party, except those third parties sub-contracted by Service Provider to perform services related to Service Recipient Data maintenance and back-up for which it shall remain fully liable as provided under this Agreement.
