Baan Software. Baan shall own all right title and interest in and ------------- to all Baan Software and any Derivative Works thereof, including all Intellectual Property Rights therein and thereto.

Baan Software. At the request of MTI, the Company shall provide reasonable assistance to help MTI obtain a license to the Baan software. The Company makes no representation or warranty as to whether any such software license may actually be obtained on terms acceptable to MTI.
