Common use of B Directors Clause in Contracts

B Directors. 12.1.1 The B Shareholder(s) (acting by Majority) shall have the right to appoint and maintain in office (i) two persons as the B Shareholder(s) may from time to time nominate as non-executive Directors (and each as a member of each and any committee of the Board) and to remove any Directors so appointed and, upon his or her removal, whether by the B Shareholder(s) or otherwise, to appoint another Director in his place and (ii) whilst ever two B Directors are not so appointed as set out above, to appoint a representative to attend as an observer at each and any meeting of the Board and each and any committee of the Board.
