Common use of Avoidance of Payments Clause in Contracts

Avoidance of Payments. The Guarantor shall on demand indemnify the Trustee, each Noteholder and each Couponholder against any cost, loss, expense or liability sustained or incurred by it as a result of it being required for any reason (including any bankruptcy, insolvency, winding up, dissolution, or similar law of any jurisdiction) to refund all or part of any amount received or recovered by it in respect of any sum payable by the Issuer under this Trust Deed, any Note or the Receipts or Coupons relating to that Note and shall in any event pay to it on demand the amount as refunded by it.

The Guarantor shall on demand indemnify the Trustee, each Noteholder Trustee and each Couponholder Noteholder, on an after tax basis, against any cost, loss, expense or liability sustained or incurred by it as a result of it being required for any reason (including any bankruptcy, insolvency, winding winding-up, dissolution, or similar law of any jurisdiction) to refund all or part of any amount received or recovered by it in respect of any sum payable by the Issuer under this Trust Deed, Deed or any Note or the Receipts or Coupons relating to that Note and shall in any event pay to it on demand the amount as refunded by it.

The Guarantor shall on demand indemnify the Trustee, each Noteholder and each Couponholder Couponholder, on an after tax basis, against any cost, loss, expense or liability sustained or incurred by it as a result of it being required for any by reason (including of any bankruptcy, insolvency, winding winding-up, examinership, dissolution, or similar law of any jurisdiction) jurisdiction to refund all or part of any amount received or recovered by it in respect of any sum payable by the Issuer under this Trust Deed, any Note or the Receipts or Coupons relating to that Note and shall in any event pay to it on demand the amount as refunded by it.

The Guarantor shall on demand indemnify the Trustee, each Noteholder Trustee and each Couponholder Bondholder, on an after tax basis, against any cost, loss, expense or liability sustained or incurred by it as a result of it being required for any reason (including any bankruptcy, insolvency, winding winding-up, dissolution, or similar law of any jurisdictionthe Netherlands, Switzerland, Belgium, Luxembourg and the United Kingdom) to refund all or part of any amount received or recovered by it in respect of any sum payable by the Issuer under this Trust Deed, Deed or any Note or the Receipts or Coupons relating to that Note Bond and shall in any event pay to it on demand the amount as refunded by it.

The Guarantor shall on demand indemnify the Trusteeeach Noteholder, each Noteholder Couponholder and each Couponholder Accountholder against any cost, loss, expense or liability sustained or incurred by it as a result of it being required for any reason (including any bankruptcy, insolvency, winding winding-up, dissolution, or similar law of any jurisdiction) to refund all or part of any amount received or recovered by it in respect of any sum payable by the Issuer Substitute under this Trust Deed, any Note or the Receipts or Coupons relating to that Note or this Deed and shall in any event pay to it on demand the amount as refunded by it.

The Guarantor relevant Guarantors shall on demand indemnify the Trustee, each Noteholder and each Couponholder against any cost, loss, expense or liability sustained or incurred by it them as a result of it them being required for any reason (including any bankruptcy, insolvency, winding winding-up, dissolution, or similar law of any jurisdiction) to refund all or part of any amount received or recovered by it them in respect of any sum payable by the relevant Issuer under this Trust Deed, any Note or the Receipts or Coupons relating to that Note and shall in any event pay to it on demand the amount as refunded by it.

The Guarantor relevant Guarantor(s) shall on demand indemnify the Trustee, each Noteholder and each Couponholder against any cost, loss, expense or liability sustained or incurred by it as a result of it being required for any reason (including any bankruptcy, insolvency, winding winding-up, dissolution, or similar law of any jurisdiction) to refund all or part of any amount received or recovered by it in respect of any sum payable by the relevant Issuer under this Trust Deed, any Note or the Receipts or Coupons relating to that Note and shall in any event pay to it on demand the amount as refunded by it.
