Average Term. If at the Closing Date the Average Term is less than 46 months, then the Consideration (as adjusted pursuant to Sections 1.4(a) and (b)) shall be further adjusted by multiplying it by a fraction, the numerator of which is the Average Term and the denominator of which is 46.
