Availability and Accuracy Clause Samples

The "Availability and Accuracy" clause establishes the obligation of a party to ensure that certain information, data, or resources are both accessible and correct. In practice, this clause may require a service provider to maintain up-to-date records or ensure that a platform is operational and the information it presents is reliable. Its core function is to provide assurance to the other party that they can depend on the availability and trustworthiness of the information or services being provided, thereby reducing the risk of misunderstandings or operational disruptions.
Availability and Accuracy. Customer acknowledges that functionality of the Solution as well as availability and accuracy of Solution Data is dependent on many elements beyond Motorola’s control, including databases managed by Customer or third parties and Customer’s existing equipment, software, and Customer Data. Therefore, Motorola does not guarantee availability or accuracy of data, or any minimum level of coverage or connectivity. Interruption or interference with the Subscription Services or Solution may periodically occur. Customer agrees not to represent to any third party that Motorola has provided such guarantee.
