Automatic Repurchase Condition. On each Vesting Date, the Annual Vesting Installment eligible for vesting on such date shall be subject to automatic repurchase by WPS Ltd to the extent provided in subsection (b) of this Section 2.3, if as of such Vesting Date there exists an Anniversary Shortfall.
