An Officer’s Certificate, dated the Closing Date, certifying that (i) the Issuer has duly authorized the execution and delivery of this Indenture and the Supplemental Indenture and the execution and delivery of the Deferred Fuel Cost Bonds and (ii) the Supplemental Indenture is in the form attached hereto and complies with the requirements of Section 2.02.
