Common use of Authorizing Certificate Clause in Contracts

Authorizing Certificate. An Officer's Certificate, dated the Series Issuance Date, of the Note Issuer certifying that (i) the Note Issuer has duly authorized the execution and delivery of this Indenture and the related Trust Issuance Certificate or Series Supplement, as the case may be, and the execution and delivery of the Notes of such Series and (ii) that the Trust Issuance Certificate or Series Supplement, as the case may be, for such Series of Notes is in the form attached thereto, which Trust Issuance Certificate or Series Supplement, as the case may be, shall comply with the requirements of Section 2.02 hereof.
