Common use of Authorization; Validity Clause in Contracts

Authorization; Validity. The Buyer has all necessary power and authority to enter into this Addendum Agreement and the other Transaction Documents and has taken all action necessary to consummate the transactions contemplated hereby and thereby and to perform its obligations hereunder and thereunder. This Addendum Agreement has been duly executed and delivered by the Buyer and is a legal, valid and binding obligation of the Buyer, enforceable against the Buyer in accordance with its terms.

Authorization; Validity. The Buyer Purchaser has all necessary power and authority to enter into this Addendum Agreement and the other Transaction Documents and has taken all action necessary to consummate the transactions contemplated hereby and thereby and to perform its obligations hereunder and thereunder. This Addendum Agreement has been duly executed and delivered by the Buyer Purchaser and is a legal, valid and binding obligation of the Buyer, Purchaser enforceable against the Buyer Purchaser in accordance with its terms, except as the enforceability thereof may be limited by bankruptcy, insolvency or other laws relating to or affecting creditors’ rights.

This Addendum Agreement has been duly executed and delivered by is the Buyer and is a legal, valid and binding obligation agreement of the Buyer, Buyer enforceable against the Buyer in accordance with its terms, subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar Laws of general applicability relating to or affecting creditors’ rights and to general equity principles.

The Buyer has all necessary power and authority to enter into this Addendum Agreement and the other Transaction Documents Related Agreements, and has taken all action necessary to consummate the transactions contemplated hereby and thereby and to perform its obligations hereunder and thereunderunder the Related Agreements. This Addendum Agreement has been duly executed and delivered by the Buyer and is this Agreement and each of the Related Agreements when executed will be a legal, valid valid, and binding obligation of the Buyer, enforceable against the Buyer in accordance with its terms.

The Buyer has all necessary requisite organizational power and authority to enter into execute and deliver this Addendum Agreement and the other Transaction Documents and has taken all action necessary to consummate the transactions contemplated hereby and thereby and to perform its obligations hereunder and thereunderhereby. This Addendum Agreement has been duly executed and delivered by the Buyer and is a legal, constitutes the valid and binding obligation of the Buyer, enforceable against the Buyer in accordance with its terms, except as its enforceability may be limited by bankruptcy, insolvency, reorganization, moratorium or other similar laws now or hereinafter in effect relating to creditors’ rights generally, and general equitable principles (whether considered in a proceeding in equity or at law).

The Buyer has all necessary power and authority to enter into this Addendum Agreement and the other Transaction Documents and has taken all action necessary (including, without limitation, authorization from its board of advisors) to consummate the transactions contemplated hereby and thereby and to perform its obligations hereunder and thereunderhereunder. This Addendum Agreement has been duly executed and delivered by the Buyer and is a legal, valid and binding obligation of the Buyer, Buyer enforceable against the Buyer in accordance with its terms.
