Common use of Authorization; Validity of Agreement; Necessary Action Clause in Contracts

Authorization; Validity of Agreement; Necessary Action. The Shareholder has full power and authority to execute and deliver this Agreement, to perform its obligations hereunder and to consummate the transactions contemplated hereby. This Agreement has been duly executed and delivered by the Shareholder and constitutes a valid and binding obligation of the Shareholder, enforceable against it in accordance with its terms.

This Agreement has been duly executed and delivered by the Shareholder and, assuming this Agreement constitutes a valid and binding obligation of A, constitutes a valid and binding obligation of the Shareholder, enforceable against it in accordance with its termsterms (except as enforceability may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or other laws affecting creditors’ rights generally and to general equity principles).

This Agreement has been duly executed and delivered by the Shareholder and or on behalf of such Shareholder, and, assuming this Agreement constitutes a valid and binding obligation obligations of each of the Seller and the Purchaser, constitutes valid and binding obligations of such Shareholder, enforceable against it such Shareholder in accordance with its terms.
