Common use of Authorization to Execute Clause in Contracts

Authorization to Execute. The officers of Developer who have executed this Agreement warrant they respectively have been lawfully authorized by the Developer to execute this Agreement on behalf of Developer. The President and Clerk of the Village warrant that the Village Board of the Village have lawfully authorized them to execute this Agreement. Developer and Village shall deliver, upon request to each other, copies of all articles of incorporation, bylaws, minutes and other evidence of the authority to so execute this Agreement on behalf of the respective parties.

Developer and Village shall deliver, upon request to each other, copies of all articles of incorporation, bylaws, minutes and other evidence of the authority to so execute this Agreement on behalf of the respective parties.

Authorization to Execute. The officers of Developer who have executed executing this Agreement warrant that they respectively have been lawfully are authorized by the Developer to execute this Agreement on behalf of the Developer’s behalf. The President and Clerk of the Village warrant that they have been lawfully authorized by the Village Board Corporate Authorities of the Village have lawfully authorized them to execute this Agreement. Developer and Village shall deliver, upon request to each other, copies of all articles of incorporation, bylaws, minutes and other evidence of the authority to so execute this Agreement on behalf of the respective parties.

Authorization to Execute. The officers of Developer who have executed this Agreement warrant they respectively have been that the Developer has lawfully authorized by the Developer them to execute this Agreement on behalf of the Developer’s behalf. The President and Clerk of the Village warrant that the Village Board of the Village have has lawfully authorized them to execute this Agreement. Developer and Village shall deliver, upon request to each other, copies of all articles of incorporation, bylaws, minutes minutes, and other evidence of the authority to so execute this Agreement on behalf of the respective parties.
