Common use of Authorization of the Common Stock Clause in Contracts

Authorization of the Common Stock. The Company has authorized the issuance and sale to the (i) GTCR Purchasers of 16,580,000 shares of Common Stock and 58,744 shares of Class A Preferred, (ii) Bajaj Purchasers of 690,833 shares of Common Stock and 2,448 shares of Class A Preferred and (iii) Xxxxxxxxxx Purchaser of 51,813 shares of Common Stock and 184 shares of Class A Preferred, having the rights and preferences set forth in the Certificate of Incorporation.

Authorization of the Common Stock. The Company has authorized the issuance and sale to the (i) GTCR Purchasers of 16,580,000 1,720,000 shares of Common Stock and 58,744 shares of Class A PreferredStock, (ii) Bajaj Purchasers of 690,833 71,667 shares of Common Stock and 2,448 shares of Class A Preferred and (iii) Xxxxxxxxxx Purchaser of 51,813 5,375 shares of Common Stock and 184 shares of Class A PreferredStock, having the rights and preferences set forth in the Certificate of Incorporation.
