Common use of Authorization, Execution and Enforceability Clause in Contracts

Authorization, Execution and Enforceability. The execution, delivery and performance by such Investor (if a Business Entity) of this Agreement and each of the other Transaction Agreements to which it is a party have been duly and validly authorized by all necessary Business Entity action on its part. This Agreement has been duly executed and delivered by such Investor and each other Transaction Agreement to which it is a party, when executed and delivered as contemplated herein, will have been duly executed and delivered by it, and this Agreement constitutes, and each such other Transaction Agreement upon execution and delivery thereof by such Investor will constitute, the legal, valid and binding obligations of such Investor, enforceable against it in accordance with their respective terms.
