Common use of Authorization; Consent Clause in Contracts

Authorization; Consent. The execution, delivery and performance by the Pledgor of this Agreement require no action by or in respect of, or filing with, any Governmental Authority and do not contravene, or constitute (with or without the giving of notice or lapse of time or both) a default under, any provision of applicable law or of any agreement, judgment, injunction, order, decree or other instrument binding upon or affecting the Pledgor, except for disclosure filings with the Securities and Exchange Commission.
