Common use of Authorization; Approvals Clause in Contracts

Authorization; Approvals. All proceedings legally required for the execution, delivery and performance of this Agreement have been taken and all licenses, orders, consents or other authorizations or approvals of the Policy Provider's board of directors or stockholders or any governmental boards or bodies legally required for the enforceability of this Agreement have been obtained or are not material to the enforceability of this Agreement;
