Authorization; Approvals. All proceedings legally required for the issuance of the Policies and the execution, delivery and performance of this Insurance Agreement have been taken and all licenses, orders, consents or other authorizations or approvals of the Insurer's Board of Directors or stockholders or any governmental boards or bodies legally required for the enforceability of the Policies have been obtained; any proceeding not taken and any license, authorization or approvals not obtained are not material to the enforceability of the Policies.
