Authority to Process Personal Information. (a) Service Provider is acting solely as a Service Provider and Data Processor with respect to Personal Information. Customer is acting as the Data Controller and the Business with respect to Personal Information and shall have the exclusive authority to determine the purposes for and means of Processing Personal Information. (b) Service Provider shall Process Personal Information (i) on behalf of Customer; (ii) as necessary to perform the services specified in the Agreement for Customer’s Business Purposes; and (iii) as otherwise permitted by the Requirements including using data to improve Services offered, and Service Provider shall not further collect, retain, use, disclose or otherwise Process Personal Information for any other purpose. (c) Service Provider shall not retain, use, disclose or otherwise Process Personal Information outside of the direct business relationship between Customer and Service Provider and only to the extent necessary for the purposes set out under Section II(A)(1)(b). (d) Service Provider shall not sell Personal Information.
