Authority Representative. The Authority hereby designates [ ] to be the representative of the Authority (the “Authority Representative”), and shall have the right, from time to time, to change the individual or individuals who are the Authority Representative by giving at least ten (10) days’ prior written Notice to StadCo thereof. Any written Approval, decision, confirmation or determination of the Authority Representative shall be binding on the Authority except in those instances in which this Agreement specifically provides for the Approval, decision, confirmation or determination of the Authority Board (which shall be by a simple majority of the members present assuming a quorum); provided, however, that notwithstanding anything in this Agreement to the contrary, the Authority Representative shall not have any right to modify, amend or terminate this Agreement.
Authority Representative. The AUTHORITY Representative specified in Exhibit A, or the Representative’s designee, shall administer this Agreement for AUTHORITY.
Authority Representative. The Authority Representative with respect to the present Letter of Undertaking shall be the director, the person assigned to the security of the information systems on behalf of the Authority or his or her delegate. The Authority Representative shall deliver all the security provisions and instructions related to the present Letter of Undertaking and to its implementation for securing the Authority's information and information systems and occasional instructions as I need, my employees and/or subcontractors with whom I maintain a business relationship for the provision of the computing services for the Authority.

Whenever under the provisions of this Agreement the approval of the Authority is required or the Authority is required to take some action at the request of the Borrower or the Guarantor, such approval shall be made or such action shall be taken by the Authority Representative and such approval or action shall not be unreasonably denied or delayed; and the Borrower, the Guarantor and the Trustee shall be authorized to act on any such approval or action.

Authority Representative. (a) The Authority Representative shall have the full authority to act on behalf of the Authority for all matters relating to this Agreement.
Authority Representative. For the purposes of this Agreement, the Authority’s representative shall be the Chief Executive Officer or his designee (hereinafter the “Authority Representative”). It shall be Consultant’s responsibility to ensure that the Authority Representative is kept informed of the progress of the performance of the services, and Consultant shall refer any decisions that must be made by Authority to the Authority Representative except for the purpose of transmitting notices as set forth herein. Unless otherwise specified herein, any approval of Authority required hereunder shall mean the approval of the Authority Representative.

Whenever under the provisions of this Loan Agreement the approval of the Authority is required or the Authority is required to take some action at the request of the Borrower, such approval shall be made or such action shall be taken by the Authority Representative; and the Borrower and the Trustee shall be authorized to act on any such approval or action.

Authority shall promptly notify Energy Manager in writing of Authority's Representative selection and any subsequent replacement(s).
