Common use of Authority of Advisor Clause in Contracts

Authority of Advisor. (a) Pursuant to the terms of this Agreement (including the restrictions included in this Paragraph 3 and in Paragraph 6, and subject to the continuing and exclusive authority of the Directors over the management of the Company, the Directors hereby delegate to the Advisor the authority to (1) research, analyze and select investment opportunities, (2) structure the terms and conditions of transactions pursuant to which investments will be made or acquired for the Company, (3) acquire Properties in compliance with the investment objectives and policies of the Company, (4) arrange for financing or refinancing Property, (5) enter into leases and service contracts for the Company’s Property, and perform other property management services, (6) oversee non-affiliated property managers and other non-affiliated Persons who perform services for the Company; and (7) undertake accounting and other record-keeping functions at the Property level.

Authority of Advisor. (a) Pursuant to the terms of this Agreement (including the restrictions included in this Paragraph 3 4 and in Paragraph 67), and subject to the continuing and exclusive authority of the Directors over the management of the Company, the Directors hereby delegate to the Advisor the authority to (1) researchlocate, analyze and select investment opportunities, (2) structure the terms and conditions of transactions pursuant to which investments will be made or acquired for the Company, (3) acquire Properties and make Mortgage Loans in compliance with the investment objectives and policies of the Company, (4) arrange for financing or refinancing PropertyProperty and Mortgage Loans, (5) enter into leases and service contracts for the Company’s 's Property, and perform other property management services, (6) oversee non-affiliated property managers and other non-affiliated Persons who perform services for the Company; and (7) undertake accounting and other record-keeping functions at the Property level.

Authority of Advisor. (a) Pursuant to the terms of this Agreement (including the restrictions included in this Paragraph 3 4 and in Paragraph 67), and subject to the continuing and exclusive authority of the Directors Trust Managers over the management of the Company, the Directors Trust Managers hereby delegate to the Advisor the authority to (1) researchlocate, analyze and select investment opportunities, (2) structure the terms and conditions of transactions pursuant to which investments will be made or acquired for the Company, (3) acquire Properties and other Permitted Investments in compliance with the investment objectives and policies of the Company, (4) arrange for financing or refinancing Propertywith respect to Properties and other Permitted Investments, (5) enter into leases and service contracts for the Company’s Property, and perform other property management services, (6) oversee non-affiliated property managers and other non-affiliated Persons who perform services for the Company; and (7) undertake accounting and other record-keeping functions at the Property level.
