Common use of Authority as Agent Clause in Contracts

Authority as Agent. in the case of a subscription for Bonds by the Investor acting as agent for a beneficial purchaser (disclosed or otherwise), it is authorized to execute and deliver this Agreement and all other necessary documentation in connection with such subscription on behalf of such principal and this Agreement has been duly authorized, executed and delivered by or on behalf of, and constitutes a legal, valid, binding and enforceable agreement of, such beneficial purchaser or principal; and

Authority as Agent. in the case of a subscription for Bonds Class A Common Shares by the Investor acting as agent for a beneficial purchaser (disclosed or otherwise), it is authorized to execute and deliver this Agreement and all other necessary documentation in connection with such subscription on behalf of such principal and this Agreement has been duly authorized, executed and delivered by or on behalf of, and constitutes a legal, valid, binding and enforceable agreement of, such beneficial purchaser or principal; and
